The Film Trips Creator Standard

Preamble to the Creator Agreement

This isn't for every creator.

It's for the ones who got into this because they love people. Who'd rather spend a Sunday morning walking through a neighborhood with strangers who become friends than grinding out content for an algorithm that won't remember them by Tuesday.

Film Trips exists because a creator — just like you — decided there had to be a better way. Not a bigger platform. Not more followers. Just better work, with better people, for a real reason.

What we believe. • The best content comes from real moments — not setups. • Local creators are some of the most undervalued people in their communities. That changes here. • Showing up fully — present, curious, unhurried — is the job. Not just capturing the moment. Being in it. • Community is built in person, not in a feed. We document it when it happens. • Creators deserve to wake up excited about their work. Every time.

What Film Trips is — honestly.

A marketplace where you list experiences you actually designed. Things you want to lead. Local businesses book you to bring those experiences to their community. You show up. You lead. You document. The content follows naturally because the moment was real.

We're not promising a full calendar overnight. We're building something steady, a network of creators who trust each other, refer each other, and do genuinely good work together. We grow together or we don't grow at all.

What we ask of you.

By signing the Creator Agreement that follows, you commit to:

• Showing up on time, prepared, and fully present for every Film Trip. • Designing experiences you'd actually want to attend — and delivering them as listed. • Treating every client and participant like they invited you into their home. • Being honest — with clients, with Film Trips, and with yourself about the work. • Supporting the creators in this network. Celebrating their wins. Sharing what you know. • Never faking it. Not the content, not the experience, not the connection. • Representing Film Trips with integrity in every interaction — on platform and off.

These commitments are incorporated into and enforceable under the Creator Agreement that follows.

What Film Trips stands for.

We are committed to: • Treating you as a professional, not a vendor. • Protecting your rates — Film Trips will not undercut Creator pricing or commoditize Creator craft through platform practices. • Crediting you — always — in any Film Trips marketing that features your work. • Listening when something isn't working and continuing to build this platform in partnership with the creator community.

These represent Film Trips' values and guiding principles. They inform every platform decision and are the standard by which Film Trips holds itself accountable to its creator community.

The Creator Agreement that follows sets out the specific terms, rights, and obligations of this relationship. By signing, you confirm that you have read both this Creator Standard and the Agreement in full, and agree to be bound by both.

  1. Parties & Nature of Relationship

This Creator Agreement ("Agreement") is entered into between Film Trips LLC, a Florida limited liability company ("Film Trips"), and the Creator identified at the signature block below ("Creator").

Creator is an independent contractor — not an employee, partner, agent, or joint venturer of Film Trips. Creator is solely responsible for their own taxes, business licenses, equipment, and insurance. Nothing in this Agreement creates an employment relationship.

  1. Platform Access & Experience Listings

Film Trips grants Creator a non-exclusive, revocable license to list pre-designed content experiences on the Film Trips marketplace. Listings are subject to Film Trips approval and may be modified or removed at Film Trips' reasonable discretion with notice.

Creator must:

• Read, sign, and uphold the Film Trips Creator Standard (Preamble to this Agreement). • Set their own hourly rate at or above the platform minimum of $75/hour. • Offer experiences at a minimum booking duration of 2 hours. • Accurately represent their skills, equipment, and experience in all listings. • Maintain an active, professional listing profile.

2A. Ticketed Public Experiences

This Section 2A governs the creation and operation of Ticketed Events on the Film Trips platform. All other provisions of this Agreement apply to Ticketed Events unless expressly superseded by this Section.

2A.1 Definition & Scope

A "Ticketed Event" is a Film Trip experience listed by a Creator on the Film Trips marketplace in which multiple members of the public may purchase individual tickets to attend. Ticketed Events are distinct from standard private bookings under Section 3 in that:

• Multiple individual purchasers ("Attendees") may register and pay independently through the Film Trips platform. • The Creator, not a single Client, is the primary experience host. • All Attendees receive both access to the experience and post-experience Deliverables as described in Section 2A.5.

2A.2 Event Listing & Setup

To create a Ticketed Event, Creator must submit a listing through the Film Trips platform that includes, at minimum:

• Experience title, description, and location. • Event date, start time, and estimated duration. • Ticket price per Attendee (at or above the platform minimum of $10 per ticket).

• Maximum Attendee capacity set by Creator. • Description of Deliverables Attendees will receive, including content type and estimated delivery timeline. • Any experience-specific requirements, restrictions, or conditions of attendance.

Listings are subject to Film Trips approval and may be modified or removed at Film Trips' reasonable discretion with notice to Creator.

2A.3 Ticket Fees & Creator Compensation

When an Attendee purchases a ticket to a Ticketed Event through the Film Trips platform:

• Attendee pays the Creator's listed ticket price plus a 5% platform booking fee collected by Film Trips at checkout. • Film Trips retains 15% of the Creator's listed ticket price as a platform service fee. • Creator receives 85% of their listed ticket price per ticket sold, upon fulfillment per Section 2A.5.

Example: Creator lists a ticket at $100. Attendee pays $105 (including 5% fee). Film Trips retains $15 (15%). Creator receives $85 per ticket sold.

All ticket proceeds are held by Film Trips via Stripe's delayed payout system from the time of each Attendee's purchase until release per Section 2A.4. Creator has no right to ticket proceeds until payout release conditions are met.

2A.4 Payout for Ticketed Events

Funds from Ticketed Event ticket sales are released to Creator in accordance with the standard platform payout timeline following the event date. Creator is solely responsible for delivering all Deliverables to Attendees as described in Section 2A.5.

Film Trips' payout obligation is not contingent on content delivery. Creator's failure to deliver Deliverables constitutes a breach of this Agreement and may result in dispute, refund obligations, and account suspension per Section 21, but does not affect the standard payout timing.

2A.5 Deliverables for Ticketed Events

Creator agrees to deliver the following to each Attendee following a Ticketed Event:

• Access to the experience on the confirmed event date.

• Edited photo and/or video content featuring or captured during the Attendee's participation, as described in the event listing.

• Deliverables must be delivered to each Attendee within the timeline the Creator specifies in the event listing. Creator is solely responsible for setting their own delivery timeline in the listing before the event is published. The Creator’s stated delivery timeline is the binding commitment — Film Trips does not impose a platform-level delivery deadline for Ticketed Events. Failure to meet the Creator’s own stated timeline constitutes a breach of this Agreement and may result in dispute, refund obligations, and account suspension per Section 21.

Creator may not substitute AI-generated content for original documentation of the experience. All content must be original work created during the booked Ticketed Event.

2A.6 Content Ownership in Ticketed Events

Notwithstanding Section 6 of this Agreement, content ownership for Ticketed Events is structured as follows:

• Creator retains ownership of all underlying creative work produced during a Ticketed Event, including master files, raw footage, and edited compositions.

• Each Attendee receives a personal, non-exclusive, perpetual, royalty-free license to use content featuring their own likeness or participation for commercial and personal purposes, including marketing, advertising, and social media. Attendees may not sublicense, sell, or assign this license to any third party.

• Attendees may not claim full ownership of, or sell or assign their license rights to any third party. The license granted is non-exclusive — Creator retains copyright in all Deliverables and may continue to use and license the same content to other parties.

• Film Trips retains its standard non-exclusive marketing license per Section 8.1 of this Agreement.

• Creator retains their standard portfolio and promotional license per Section 6 of this Agreement, subject to the same restrictions on sensitive content and commercial use.

2A.7 Participant Consent & Release — Ticket Purchase as Consent

By purchasing a ticket to a Film Trips Ticketed Event, each Attendee affirmatively consents to:

• Being photographed and/or filmed during the event as part of the documented experience.

• Creator's use of content featuring their likeness for portfolio and promotional purposes per Section 6 of this Agreement.

• Film Trips' use of anonymized or attributed content for platform marketing per Section 8.1.

Film Trips shall include clear, conspicuous consent language at the ticket purchase checkout. Creator's obligation to obtain individual participant releases under Section 9 is satisfied by Film Trips' platform-level consent collection for Ticketed Events.

Notwithstanding the above:

• For Ticketed Events involving minors (under 18), Film Trips shall require the purchasing adult to confirm they are a parent or legal guardian of the minor Attendee and are consenting on the minor's behalf. Creator must verify minor Attendees have valid guardian consent on record before capturing content featuring that minor.

• If any Attendee verbally objects to being filmed during the event, Creator must immediately cease capturing content featuring that individual and, where reasonably possible, remove or quarantine any content featuring them captured prior to the objection.

2A.8 Cancellation of Ticketed Events

Creator-initiated cancellation:

• More than 7 calendar days before the event: Film Trips processes full refunds to all Attendees from held ticket funds. Creator receives no compensation.

• Within 7 calendar days of the event: Film Trips processes full refunds to all Attendees from held ticket funds. Creator receives no compensation and may be subject to a cancellation penalty of [$X] or [X%] of the total held ticket value, at Film Trips' discretion.

• More than 2 Ticketed Event cancellations in any 12-month period may result in Creator's Ticketed Event listing privileges being suspended or permanently removed.

Event rescheduling: Creator may request to reschedule a Ticketed Event rather than cancel it, subject to Film Trips approval. If rescheduled:

• Existing Attendees must be notified of the new date within 2 business days of the reschedule decision.

• Attendees who cannot attend the rescheduled date are entitled to a full refund, processed by Film Trips from held ticket funds within [X business days].

• Attendees who confirm attendance at the rescheduled date retain their ticket and no refund is issued.

Force majeure cancellations are governed by Section 18.2 of this Agreement. In the event of a force majeure cancellation of a Ticketed Event, Film Trips will work in good faith to facilitate rescheduling or process full refunds to all Attendees from held ticket funds, and no cancellation penalty will be applied to Creator.

  1. Platform Booking Flow

All standard bookings on Film Trips follow this process:

  1. Client submits an inquiry on Creator's listing.

  2. Client and Creator communicate through the Film Trips messaging system to align on experience details. All negotiation must occur on the platform.

  3. Creator submits a formal quote to the Client through the platform.

  4. Client may accept, reject, or request modifications to the quote. Creator may revise and resubmit until both parties reach agreement.

  5. Upon mutual agreement, Client pays 100% of the agreed booking amount upfront through the Film Trips payment system before the experience is confirmed.

  6. Funds are held by Film Trips via Stripe's delayed payout system until the experience is completed and content is delivered.

  7. Client marks the booking as fulfilled, triggering Creator payment — OR funds auto-release per Section 5 of this Agreement.

Creator acknowledges that no booking is confirmed until full payment is received by Film Trips. Creator shall not begin work, reserve dates, or make commitments to Clients prior to payment confirmation.

  1. Payment, Fees & Creator Compensation

4.1 Standard Platform Bookings

When a Client books through the Film Trips platform:

• Client pays the full booking amount at checkout, including a 5% client-side booking fee.

• Film Trips retains 15% of the Creator's quoted booking amount as a platform service fee.

• Creator receives 85% of their quoted rate upon fulfillment.

Example: Creator quotes $200. Client pays $210 (including 5% fee). Film Trips retains $30 (15%). Creator receives $170.

For fees applicable to Ticketed Events, see Section 2A.3.

4.2 Creator Payment Contingent on Client Payment

Critical Principle: Creator compensation is strictly contingent on Film Trips receiving full payment from the Client. Film Trips operates as the collecting and distributing entity. Creator has no right to payment from Film Trips until Film Trips has collected funds from the Client.

Creator expressly agrees that:

• Film Trips is not obligated to pay Creator for any booking in which the Client has not paid Film Trips in full.

• If a Client payment fails, is reversed, or is disputed after disbursement, Film Trips reserves the right to recover the amount paid to Creator through offset against future earnings or direct repayment.

• Creator will not pursue the Client directly for payment under any circumstances — all payment disputes go through Film Trips.

4.3 Off-Platform Invoicing Model

Film Trips may, at its discretion, enter into arrangements where Film Trips directly invoices a Client for a custom production or content experience, then engages Creator as a subcontractor to fulfill the work. These arrangements are referred to as "Invoice Projects."

Invoice Projects differ from standard platform bookings in the following ways:

• Film Trips is the contracting entity with the Client — the Client's agreement is with Film Trips, not Creator.

• Creator functions as a subcontractor to Film Trips for the specific Invoice Project.

• Film Trips will issue Creator a separate subcontractor invoice or payment agreement outlining the specific scope, rate, and payment timeline for each Invoice Project.

• The platform fee for Invoice Projects shall be no less than 15% of the total project value and will be specified in writing for each Invoice Project.

• The 5% client-side booking fee applicable to standard platform bookings does not apply to Invoice Projects — all fee structures are negotiated and documented separately per project.

• Creator may not contact the Client directly regarding payment, scope changes, or disputes — all communication on financial matters must go through Film Trips.

• Creator may not represent themselves as the primary contractor or billing entity to the Client.

Payment terms for Invoice Projects:

• Film Trips will pay Creator within [10 business days] of receiving full Client payment for the Invoice Project.

• If the Client is on net-30 or net-60 payment terms, Creator's payment timeline follows accordingly — Creator is paid after Film Trips collects.

• If a Client fails to pay Film Trips for an Invoice Project, Film Trips will notify Creator within [5 business days] and work in good faith toward collection. Creator is not entitled to payment until Film Trips has collected.

• Film Trips will not pursue Invoice Projects it does not believe are collectible. If Film Trips decides to write off an uncollected Invoice Project, Creator will be notified and both parties are released from further obligation on that project.

  1. Delayed Payout, Auto-Release & Dispute Process

Film Trips uses Stripe's delayed payout system to hold transaction funds pending fulfillment. References in this Agreement to "held funds" or "pending payout" refer to this mechanism. Film Trips does not operate as an escrow agent and nothing in this Agreement shall be construed to create an escrow relationship.

5.1 Payment Hold

All standard platform booking funds are held by Film Trips via Stripe's delayed payout system from the time of Client payment until release per this Section. Held funds are not accessible to Creator or Client during the hold period.

5.2 Fulfillment & Release — Standard Private Bookings

For standard private bookings processed through the Price Negotiation flow:

• Creator marks the order as delivered through the platform transaction page.

• Client receives an automated platform notification and may accept the order or request changes.

• Held funds are released to Creator when the Client accepts the delivered order — OR automatically 14 days after Creator marks the order delivered, if the Client takes no action.

• A single automated reminder is sent to the Client 5 days after Creator marks the order delivered, prompting them to accept or request changes before auto-release.

Creator agrees to mark the order delivered promptly upon completing content delivery. Failure to mark delivered delays the auto-release clock and Creator's own payout.

5.3 Fulfillment & Release — Ticketed Events

For Ticketed Events processed through the Calendar Booking flow, funds are released to Creator at the conclusion of the booked event period. There is no separate delivery confirmation step or auto-release timer for Ticketed Events. Creator is solely responsible for delivering Deliverables to Attendees per Section 2A.5 following the event. Film Trips' payout obligation is not contingent on content delivery.

5.4 Dispute Process

Film Trips acts solely as a platform moderator in all disputes between Creators and Clients. Film Trips' involvement in any dispute constitutes platform moderation — not arbitration, mediation, or any other formal dispute resolution process. Film Trips' moderation decisions do not create legal liability on Film Trips' part and do not waive either party's right to pursue other legal remedies.

If a Client believes the Creator failed to deliver as agreed, the Client must submit a formal dispute to Film Trips by emailing hello@filmtrips.co within 14 calendar days of receiving platform notification that the Creator has marked the booking as delivered, or within 30 calendar days of the experience date, whichever comes first. Disputes submitted after 14 calendar days will not be reviewed and funds will have released to Creator per Section 5.2.

When a dispute is received:

  1. Film Trips notifies Creator within [2 business days] of receiving the dispute.

  2. Both Creator and Client submit their account of the situation, including any supporting evidence — messages, content delivered, and agreements made on-platform.

  3. Film Trips reviews the dispute as platform moderator and issues a moderation decision within [7 business days] of receiving both parties' submissions.

  4. Film Trips' moderation decision is final for disputes involving amounts under $500. Disputes above this threshold may be escalated per Section 22.

Possible moderation outcomes:

• Full release to Creator — Client's complaint is not substantiated.

• Full refund to Client — Creator materially failed to deliver.

• Partial resolution — Film Trips determines a proportional outcome appropriate to the circumstances.

Creator agrees to respond to dispute requests within 5 business days of notification. Failure to respond may result in Film Trips issuing a default moderation decision in the Client's favor.

  1. Content Ownership & Licensing

6.1 Raw Files — Creator Retention

All raw, unedited source files captured during a Film Trip — including RAW photo files, unedited video footage, original audio recordings, and any other unprocessed captured media (collectively "Raw Files") — remain the sole property of the Creator. Raw Files are not included in any standard Film Trips booking and are not required to be delivered to the Client.

Raw File delivery is governed as follows:

• Default: Creator retains all Raw Files. No delivery obligation exists unless Creator has explicitly offered raw file delivery as part of their listing.

• Creator Add-On: Creator may elect to offer Raw File delivery as an optional paid add-on within their listing. If offered and purchased, delivery terms, format, and timeline must be specified in the listing and agreed at booking.

• Premium / Invoice Projects: Film Trips may facilitate Raw File delivery arrangements as part of Invoice Projects under Section 4.3. Terms will be specified in writing per project.

Creator is not obligated to retain Raw Files for any period beyond their standard professional workflow. Film Trips makes no representations regarding Raw File storage or archival obligations.

6.2 Deliverables — Exclusive License to Client

All final, edited content produced by Creator during a Film Trip — including edited photos, color-graded video, audio recordings, reels, and any other finished creative output delivered to the Client (collectively "Deliverables") — is licensed to the Client as follows:

Creator grants Client an exclusive, perpetual, royalty-free, worldwide license to use, reproduce, display, distribute, and adapt the Deliverables for any commercial or non-commercial purpose, including but not limited to marketing, advertising, social media, and internal business use.

Creator retains the underlying copyright in all Deliverables but agrees that:

• Creator will not commercially license, sell, or otherwise make the same Deliverables available to any third party for commercial use.

• Creator will not use Deliverables in any way that competes with or undermines the Client's commercial use of the content.

• The Client's exclusive license is personal to the Client's organization and may not be sublicensed, sold, or assigned to any unaffiliated third party without Creator's prior written consent. Client may authorize its own employees, contractors, and agents to use Deliverables within the scope of this license, provided they do so solely for the Client's benefit.

6.3 Creator Portfolio Rights

Creator's right to use Deliverables for self-promotion is governed by the nature of the content and the Client's designation at booking:

• Standard content: Creator may use Deliverables for portfolio display, professional samples, and personal social media promotion of Creator's own services without prior Client approval, provided Creator credits the Client business where reasonably applicable.

• Sensitive content: For experiences involving private events, children's programming, religious gatherings, health or medical contexts, or content featuring identifiable private individuals, Creator must obtain written Client approval before any public use of Deliverables.

• Client-designated private booking: A Client may request that a booking be treated as private by communicating this directly to the Creator through the Film Trips messaging system. Creator may agree or decline at their discretion. If both parties agree in writing through the platform messaging system, Creator's public use of any Deliverables from that booking is prohibited without the Client's subsequent written approval. Film Trips does not provide a technical mechanism for private booking designation — any such arrangement is solely between Creator and Client and must be documented in on-platform communications.

In all cases, Creator's portfolio use is limited to self-promotion and may not be used for any commercial purpose beyond the promotion of Creator's own Film Trips services.

6.4 Film Trips Marketing License

Creator grants Film Trips a non-exclusive, royalty-free license to display, reference, and promote Deliverables in Film Trips' marketing materials, platform communications, case studies, and press, with Creator credit, consistent with Section 8.1 of this Agreement. This license does not grant Film Trips the right to sell or commercially sublicense Deliverables to third parties.

6.5 Ticketed Events

Content ownership for Ticketed Events is governed by Section 2A.6 of this Agreement, which supersedes Sections 6.1 and 6.2 for all Ticketed Event bookings.

6.6 Supplemental Creator Agreements

Creators may present their own supplemental service agreements to Clients in connection with a Film Trips booking. The following hierarchy governs any conflict:

• This Film Trips Creator Agreement is the controlling document for all bookings made through the Film Trips platform. In any conflict between a Creator's supplemental agreement and this Agreement, this Agreement prevails.

• A Creator's supplemental agreement may expand the rights granted to a Client beyond the Film Trips standard — for example, by including Raw File delivery, extended usage rights, or additional services — but may not reduce Client rights below the Film Trips standard or override the content ownership structure in this Section 6.

• No supplemental creator agreement may redirect payment for Film Trips bookings outside of the Film Trips payment system. All payment obligations for platform bookings remain subject to Section 4 of this Agreement regardless of any supplemental agreement terms.

• Film Trips is not a party to any supplemental creator-client agreement and assumes no liability arising from such agreements.

6.7 Stock Shoot Experiences — Stock Creator Designation

A Creator may designate any individual listing as a Stock Shoot Experience, indicating that content captured during the booking will be commercially licensed to third parties by the Creator, including on stock footage and stock photography platforms. No prior Film Trips approval is required to designate a listing as a Stock Shoot Experience. However, Film Trips reserves the right to revoke a Creator's Stock Shoot designation — for individual listings or platform-wide — if the designation is found to be misused, misleading, or in violation of this Agreement.

6.7.1 Client Disclosure — Mandatory

Stock Shoot Experience listings must include clear, prominent disclosure in the listing description that:

• Content captured during the booking will be commercially licensed by the Creator to third parties, including stock platforms, media outlets, and other commercial licensees.

• The Client's license to Deliverables is personal and non-exclusive — the Client does not receive the exclusive commercial license described in Section 6.2.

• The Creator will administer their own release form, which the Client must review and sign before the experience begins.

Film Trips will display a standardized Stock Shoot disclosure notice on the booking confirmation page for all listings designated as Stock Shoot Experiences. Creator acknowledges that failure to include required disclosure language in their listing constitutes a material misrepresentation and may result in listing removal and account suspension per Section 21.

6.7.2 Content Ownership — Stock Shoot Experiences

Notwithstanding Section 6.2, for Stock Shoot Experience bookings:

• Creator retains full ownership of all Raw Files and all underlying copyright in Deliverables.

• Client receives a personal, non-exclusive, perpetual, royalty-free license to use Deliverables for their own business and personal purposes, including marketing, advertising, social media, and internal use.

• Client may NOT sublicense, resell, or transfer their license rights to any third party.

• Creator retains the right to commercially license Raw Files and Deliverables to stock platforms, media companies, and any other third-party commercial licensees, subject to Section 6.7.3.

6.7.3 Stock Licensing Restrictions

Creator's commercial licensing rights in Stock Shoot Experience content are subject to the following restrictions:

• Creator may not license Raw Files or Deliverables to any platform or entity that uses submitted content to train AI models without obtaining prior written consent from both the Client and Film Trips. This restriction applies regardless of whether such AI training use is disclosed in the receiving platform's terms of service. Section 7 of this Agreement applies in full to Stock Shoot Experience content.

• Creator may not license content in a manner that directly and identifiably harms the Client's business — for example, licensing footage of a Client's restaurant to a direct competitor operating in the same market.

• Creator is solely responsible for ensuring their stock licensing agreements do not conflict with the Client's personal use license granted under Section 6.7.2.

6.7.4 Creator Release Forms — Creator Solely Responsible

For Stock Shoot Experiences, Creator is solely responsible for:

• Preparing, presenting, and obtaining the Client's signature on any release forms required to commercially license content featuring identifiable individuals, business premises, products, or proprietary materials.

• Ensuring release forms are signed by all required parties before content capture begins.

• Compliance with all applicable laws governing commercial use of content featuring identifiable persons, private property, or proprietary materials in the jurisdictions where the experience takes place.

Film Trips has no role in preparing, reviewing, or enforcing Creator release forms and assumes no liability arising from a Creator's failure to obtain adequate releases. Creator agrees to indemnify Film Trips from any claim arising from the commercial licensing of Stock Shoot Experience content.

6.7.5 Platform Fees & Payment

Stock Shoot Experiences are subject to the same platform fee structure as standard bookings per Section 4.1. All payments must flow through the Film Trips payment system. Creator's commercial licensing revenue generated from third-party stock platforms is entirely separate from and does not flow through Film Trips — Film Trips makes no claim on Creator's stock licensing revenue.

  1. Artificial Intelligence — Prohibited Uses

Creator expressly agrees that Deliverables, Raw Files, and any content created in connection with a Film Trips booking SHALL NOT be used for any of the following without prior written consent from both the Client AND Film Trips:

• Submission to any AI training dataset, database, or model — including image recognition models, video AI, generative AI, or large language models.

• Upload to any platform that uses submitted content to train AI systems — including Adobe Firefly training, Getty AI, Shutterstock AI, or similar services.

• Use as prompt reference, style transfer input, or fine-tuning data for any generative AI tool.

• Sale or licensing to any AI data aggregator, scraping service, or synthetic media company.

These prohibitions apply in full to Stock Shoot Experience content under Section 6.7. Creator may not circumvent this Section by designating a booking as a Stock Shoot Experience. Creator's third-party stock licensing rights under Section 6.7.3 do not include licensing to any platform or entity that uses submitted content to train AI models without the explicit prior written consent of both the Client and Film Trips.

Creator also agrees to:

• Not use AI-generated content as a substitute for original creative work in any Deliverable without explicit written disclosure to and approval from the Client prior to booking.

• Disclose in their listing profile whether they use AI-assisted editing tools (e.g., AI upscaling, background removal). Post-processing AI tools are permitted; generative content substitution is not.

Violation of this Section constitutes a material breach of this Agreement and may result in immediate termination, forfeiture of pending payout, and liability for damages to the Client and Film Trips.

  1. Experience Concept Ownership & Platform Exclusivity

8.1 Creator Ownership of Experience Concepts

Creator retains full intellectual property ownership of the experience concepts, formats, and frameworks they design and list on the Film Trips platform. Film Trips does not claim ownership over Creator's original experience concepts.

Creator grants Film Trips a non-exclusive, royalty-free license to:

• Display, promote, and market Creator's listed experiences on the Film Trips platform and in Film Trips' marketing materials.

• Reference Creator's experience concepts in general platform communications, case studies, or press (with Creator credit).

• Use anonymized and aggregated experience data to improve the platform.

Film Trips will not replicate, resell, or sublicense Creator's specific experience concepts to third parties without Creator's written consent.

8.2 Platform Exclusivity — Soft Commitment

Film Trips does not require strict exclusivity under this Agreement. Film Trips encourages Creator to list their Film Trips experiences exclusively on the Film Trips platform where reasonably possible. This is not a binding exclusivity requirement, but Creator agrees to:

• Give Film Trips first consideration as the primary marketplace for the specific experience types listed on this platform.

• Not actively use Film Trips' platform, tools, or client relationships to build a competing marketplace or to recruit Film Trips clients to a competing platform.

• Notify Film Trips if they begin listing the same experience types on a competing marketplace, so Film Trips may adjust the partnership accordingly.

  1. Participant Releases & Privacy

Creator is solely responsible for obtaining appropriate photo/video release forms from all identifiable participants who appear in Deliverables, where required by applicable law or Client request. Release obligations vary by booking type as follows:

• Standard private bookings: Creator is solely responsible for obtaining individual participant releases as described in this Section.

• Ticketed Events: Film Trips' platform-level consent collected at ticket purchase satisfies Creator's release obligation for Attendees, subject to the conditions in Section 2A.7. Creator remains responsible for compliance with any additional release requirements applicable to the specific experience or jurisdiction.

• Stock Shoot Experiences: Creator release form obligations are governed exclusively by Section 6.7.4. Creator is solely responsible for preparing, presenting, and obtaining all required releases before content capture begins.

For all standard private bookings, Creator agrees to:

• Inform participants at the start of every Film Trip that the experience will be documented.

• For experiences involving minors (under 18), obtain written parental or guardian consent before capturing any content featuring the minor.

• Immediately delete or quarantine any content featuring a participant who clearly objects to being filmed.

Film Trips provides optional release form templates but does not guarantee their legal sufficiency in all jurisdictions. Creator is responsible for compliance with applicable privacy laws.

  1. Off-Platform Solicitation & Non-Circumvention

Creator may NOT solicit, contact, or accept bookings from any Client or Attendee introduced through Film Trips outside of the Film Trips platform for a period of 12 months following their last Film Trips booking or event with that Client or Attendee. For the purposes of this Section, "Attendee" means any individual who purchased a ticket to a Creator's Ticketed Event through the Film Trips platform.

• Creator may NOT share personal contact information with a Client or Attendee for the purpose of arranging off-platform bookings.

• Creator may NOT offer Clients or Attendees incentives to book outside the platform.

• If a Client or Attendee contacts Creator directly about an off-platform booking, Creator must direct them back to Film Trips and notify Film Trips at hello@filmtrips.co.

  1. Mutual Review System

Film Trips operates a mutual review system to maintain platform quality and trust for all parties.

11.1 How Reviews Work

• After a booking is marked fulfilled or a Ticketed Event booking period concludes, both the Client or Attendee and Creator are invited to leave a review of the other party.

• Client reviews reflect their experience with the Creator — quality of content, professionalism, communication, and experience delivery.

• Creator reviews reflect their experience with the Client — communication clarity, cooperation, professionalism, and timely fulfillment marking.

• Film Trips does not leave reviews and does not editorialize individual reviews. Film Trips may remove reviews that violate platform community standards (harassment, defamation, or clearly fraudulent content).

11.2 Review Standards

Creator agrees to:

• Leave honest, professional, and factual reviews of Clients.

• Not use the review system to coerce, threaten, or retaliate against Clients.

• Not solicit or incentivize Clients to leave positive reviews.

11.3 Performance Threshold

Film Trips monitors Creator performance through the review system. If a Creator's average rating falls below [3.5 stars] across [5 or more completed bookings], Film Trips may initiate a performance review and, at its discretion, temporarily suspend or permanently remove the Creator's listings.

Creator will be notified before any suspension and given [14 days] to respond or appeal.

  1. Tax Obligations & 1099 Reporting

Creator is solely responsible for all federal, state, and local taxes arising from their earnings on the Film Trips platform, including self-employment tax and any applicable sales or service taxes. Film Trips uses Stripe to process all payments and manage Creator onboarding, which includes the collection of tax identification information required for reporting purposes.

12.1 Stripe Onboarding & Tax Information

As part of the Film Trips creator onboarding process, Creator must complete all required tax and banking information through Stripe Connect, Film Trips' payment platform. This process collects the equivalent of W-9 information — including legal name, address, and Tax ID (SSN or EIN) — directly and securely through Stripe.

Creator agrees that:

• Stripe onboarding must be fully completed before Creator can receive any payment from Film Trips. Film Trips will not release held funds to any Creator who has not completed Stripe onboarding.

• All tax identification information provided through Stripe must be accurate and current. Creator is responsible for keeping their Stripe profile up to date, including any changes to legal name, address, or Tax ID.

• Creator authorizes Film Trips and Stripe to collect, store, and use tax identification information for the purposes of payment processing and tax reporting.

12.2 1099 Reporting

Film Trips will issue tax forms to Creators in accordance with applicable IRS requirements, using information collected through Stripe. Creators earning $600 or more in a calendar year through the platform will receive the applicable 1099 form electronically through their Stripe Express dashboard.

• 1099 forms will be generated and filed with the IRS through Stripe's tax reporting infrastructure. Creators will receive e-delivery of their forms through the Stripe Express portal and will be notified when forms are available.

• Film Trips is not responsible for Creator's tax compliance and makes no representations about the tax treatment of Creator's earnings. Creator is solely responsible for correctly reporting all income and paying any taxes owed.

• Creator acknowledges that payments processed through Stripe may also be reported on a separate 1099-K by Stripe as the payment processor. Creator understands this does not result in double taxation but may require documentation when filing. Creator is encouraged to consult a tax professional regarding their specific obligations.

  1. Insurance

Creator is required to maintain general liability insurance coverage of at least $1,000,000 per occurrence for activities conducted during Film Trips experiences. Film Trips does not provide insurance coverage for Creator's activities and Creator assumes full responsibility for any claims arising from their conduct, equipment, or services.

  1. Representations & Warranties

Creator represents and warrants that:

• Creator has full legal right and authority to enter into this Agreement.

• Listed experiences do not infringe any third-party intellectual property rights, including music rights, location permits, or third-party creative works.

• Creator holds any necessary permits or licenses required to conduct their listed experiences in the specified locations.

• Creator's portfolio, credentials, and listing descriptions are accurate and not misleading.

• Creator has not been convicted of any felony or crime involving moral turpitude.

• Creator will comply with all applicable federal, state, and local laws in performing services.

  1. Conduct, Safety & Brand Standards

Creator agrees to:

• Arrive on time and prepared for all bookings.

• Conduct themselves professionally toward Clients, Attendees, participants, venue staff, and the general public.

• Not consume alcohol or any impairing substance before or during a Film Trip.

• Not promote competing platforms or personal side-channels during a Film Trip.

• Not engage in harassment, discrimination, or inappropriate conduct toward any participant.

Brand Alignment

Creator's public conduct reflects on Film Trips. Film Trips reserves the right to remove a Creator whose public conduct is materially inconsistent with Film Trips' values, with notice and a reasonable cure period where appropriate.

  1. Social Media & Platform Credit

• Creator must tag or credit the Client business when sharing Film Trip content on their channels, unless Client waives this in writing.

• Creator should tag @filmtrips.co or use #FilmTrips where reasonably applicable.

• Creator may not misrepresent a paid Film Trip as a personal project in a way that misleads their audience.

  1. Delivery Standards & Timelines

Creator agrees to deliver all Deliverables within the timeline agreed at booking, and no later than 7 calendar days after the experience unless otherwise specified in writing.

• Deliver the content type and volume represented in the listing.

• Content must be original work created during the booked experience.

• Content must be delivered in agreed formats and platform-ready specifications.

• Creator's obligations regarding AI-generated content substitution are governed by Section 7 of this Agreement.

  1. Cancellation Policy & Force Majeure

18.1 Creator Cancellations — Standard Private Bookings

• 72+ hours before experience: Client receives full refund. Creator receives no payment.

• Within 72 hours: Client receives full refund. Creator forfeits payment for that booking. Repeated within-72-hour cancellations may result in listing suspension or removal per this Agreement.

• More than [2] cancellations in any 6-month period may result in listing suspension.

Client cancellations for standard private bookings are governed by the Film Trips Refund & Cancellation Policy at filmtrips.co/refund-cancellation-policy.

For Ticketed Event cancellations and rescheduling, see Section 2A.8 of this Agreement.

18.2 Force Majeure

If a Film Trip cannot be completed due to circumstances beyond either party's reasonable control — including severe weather, natural disaster, public health emergency, or venue closure — Film Trips will work with both parties to reschedule or issue appropriate refunds. Neither party shall be held in breach for genuine force majeure events.

  1. Platform Liability Limitation & Indemnification

Film Trips is a marketplace platform and is not responsible for the actions, quality, safety, conduct, or content of Creators or Clients. Creator agrees to indemnify, defend, and hold harmless Film Trips LLC, its members, officers, agents, and employees from any claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from:

• Creator's services, conduct, or content.

• Creator's breach of this Agreement, including the Film Trips Creator Standard.

• Any third-party claim related to Creator's experience.

• Creator's failure to obtain required permits, releases, or insurance.

• Creator's tax non-compliance.

• Creator's failure to obtain adequate participant releases for Stock Shoot Experiences, or any third-party claim arising from Creator's commercial licensing of Stock Shoot Experience content under Section 6.7.

  1. Confidentiality

Creator agrees to keep confidential any non-public business information shared by Clients in connection with a booking and to use such information solely for the purpose of the Film Trip. This obligation survives termination of this Agreement.

  1. Term & Termination

This Agreement begins upon Creator's acceptance and continues until terminated. Either party may terminate with [30 days] written notice. Film Trips may terminate immediately for:

• Violation of the AI use prohibitions in Section 7.

• Off-platform solicitation in violation of Section 10.

• Conduct endangering participants or bringing material disrepute to Film Trips.

• Submission of fraudulent, misleading, or AI-generated content misrepresented as original.

• Failure to maintain the performance threshold in Section 11.3.

• Misuse of the Stock Shoot Experience designation in violation of Section 6.7, including failure to provide required client disclosure or use of the designation to circumvent Section 7 AI prohibitions.

Termination does not affect obligations or rights related to completed or in-progress bookings.

  1. Governing Law & Dispute Resolution

22.1 Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

22.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement — including its formation, interpretation, breach, termination, or enforceability — shall be resolved exclusively through final and binding arbitration, rather than in court.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, as modified by this Agreement. A single arbitrator shall be appointed in accordance with AAA rules. The arbitration shall be conducted in Hillsborough County, Florida, or virtually at the arbitrator's discretion. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Each party shall bear its own attorneys' fees and costs in connection with any arbitration proceeding. Arbitration filing fees shall be allocated in accordance with the AAA fee schedule in effect at the time of filing.

22.3 Jury Trial & Class Action Waiver

BY AGREEING TO THIS AGREEMENT, BOTH PARTIES EXPRESSLY WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All disputes must be brought individually. Neither party may bring a claim as a plaintiff or class member in any class or representative proceeding.

22.4 Small Claims Carve-Out

Notwithstanding Section 22.2, either party may bring an eligible claim in small claims court in Hillsborough County, Florida, provided the claim qualifies under the jurisdictional limits of that court and is brought on an individual basis only.

22.5 Injunctive Relief Carve-Out

Notwithstanding Section 22.2, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Hillsborough County, Florida, where necessary to prevent irreparable harm pending the resolution of an arbitration proceeding. This includes but is not limited to Film Trips' right to seek injunctive relief for violations of Section 10 (Off-Platform Solicitation), Section 7 (AI Prohibited Uses), or Section 6.7 (Stock Shoot Experience misuse).

22.6 Attorneys' Fees

Each party shall bear its own attorneys' fees and costs in connection with any dispute arising under this Agreement, whether resolved through arbitration, small claims court, or otherwise. Neither party is entitled to recover attorneys' fees from the other except as may be awarded by an arbitrator for frivolous or bad-faith claims under applicable AAA rules.

  1. Entire Agreement & Amendments

This Agreement, including the Film Trips Creator Standard (Preamble) and all platform policies incorporated by reference — including the Film Trips Refund & Cancellation Policy at filmtrips.co/refund-cancellation-policy and the Film Trips Privacy Policy at filmtrips.co/privacy-policy — constitutes the entire agreement between the parties. Creator acknowledges and accepts all incorporated policies by agreeing to this Agreement.

Amendments must be in writing and agreed by both parties. If any provision of this Agreement is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. If the class action waiver in Section 22.3 is found unenforceable, any class or representative claims shall proceed in court, but the remainder of the arbitration agreement in Section 22.2 shall remain in effect. Film Trips may update platform policies with [30 days] notice; continued use of the platform constitutes acceptance.
